1. Service Provision
A-Eye Digital Solutions ("Provider") agrees to provide Paulie's Professional Phone Service ("Service") to the Client as described in the selected plan. The Service includes AI-powered call answering, screening, scheduling, and customer interaction management customized to Client's business needs.
2. Service Setup and Customization
Following execution of this Agreement and payment confirmation, Provider will schedule a customization session within 3-5 business days. During this session, Provider will configure the AI system with Client's specific requirements including greetings, call flows, scheduling integration, and industry terminology.
3. Service Activation
Service will be activated within 5-7 business days of customization completion. Client will receive phone forwarding instructions and access credentials to the management dashboard. Client is responsible for properly configuring call forwarding to the provided service number.
4. Payment Terms
Client agrees to pay the fees associated with the selected plan. Payment is processed securely through Stripe. Monthly subscriptions are billed in advance on the same day each month. Annual subscriptions are billed in full upon signing. All fees are non-refundable except as specified in the Terms of Service.
5. Automatic Renewal
This Agreement automatically renews at the end of each billing period unless Client cancels at least 48 hours before renewal. Client may cancel through the account dashboard or by contacting support@aeyedigitalsolutions.org.
6. Service Level
Provider will maintain 99.5% uptime excluding scheduled maintenance. Service is provided "as is" and Provider makes no guarantees regarding call answer rate, accuracy of AI responses, or specific business outcomes.
7. Client Responsibilities
Client agrees to: (a) provide accurate business information, (b) properly forward calls to the service number, (c) respond to customer inquiries flagged for human follow-up within 24 hours, (d) comply with all applicable laws regarding call recording and customer consent, and (e) use the Service only for lawful business purposes.
8. Data and Privacy
Provider will collect and process call data as necessary to provide the Service. Call recordings are retained for 90 days. Client retains ownership of all customer data and business information. Provider will not share Client data with third parties except as required by law or as necessary to provide the Service.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of this Agreement. This obligation survives termination of the Agreement.
10. Limitation of Liability
Provider's total liability under this Agreement shall not exceed the amount paid by Client in the 12 months preceding any claim. Provider is not liable for indirect, consequential, or incidental damages including lost revenue or business opportunities.
11. Termination
Either party may terminate this Agreement with written notice. Client terminations are effective at the end of the current billing period. Provider may terminate immediately for non-payment or violation of Terms of Service. Upon termination, Client's access to the Service will cease and data will be deleted within 30 days.
12. Modifications
Provider may modify service features or pricing with 30 days' notice. Continued use of the Service after such notice constitutes acceptance of modifications.
13. Governing Law
This Agreement is governed by the laws of the applicable jurisdiction. Disputes shall be resolved through binding arbitration.
14. Entire Agreement
This Agreement, together with the Terms of Service (available at aeyedigitalsolutions.org/terms), constitutes the entire agreement between the parties and supersedes all prior communications and understandings.
